Audimind Terms of Service

Last Updated: September 7, 2026

Effective Date: September 7, 2026

1. Introduction and Acceptance

These Terms of Service (the "Terms") form a legally binding agreement between you and Shenzhen Audimind Technology Co., Ltd. ("Audimind," "we," "us," or "our"). They govern your access to and use of the Audimind website at www.audimind.ai, our web applications, APIs, software, and related features and services (collectively, the "Services").

Audimind is an AI-powered software-as-a-service platform for audiobook and spoken-audio production. The Services may include script and chapter processing, Smart Storyboard, recording, editing, post-production, Smart Alignment, Smart Review, AI-assisted narration, AI Voice Design for fictional, creative, and production-oriented voice styles, AI sound-effect generation, asset management, and collaborative Workspaces. Features may vary by plan, account, language, region, and availability.

The following policies are incorporated into these Terms:

By creating an account, clicking to accept these Terms, or otherwise accessing or using the Services, you acknowledge that you have read and agree to these Terms. If you do not agree, do not use the Services.

If you use the Services for a company or other organization, you represent that you have authority to bind that organization. In that case, "you" includes that organization.

Important: Section 18 contains dispute-resolution terms that may affect your legal rights. Mandatory consumer rights in your place of residence remain unaffected.

2. Eligibility

2.1. You must be at least 13 years old and at least the minimum age required to consent to digital services in your jurisdiction. If you are below the age of legal majority, you may use the Services only with the consent and supervision of a parent or legal guardian who accepts responsibility for your use and any charges.

2.2. AI voice and audio features are not intended for a child to use without verifiable authorization from the child's parent or legal guardian and all other permissions required by law.

2.3. You may not use the Services if you are barred from doing so by applicable law, sanctions, export-control restrictions, or a prior termination imposed for serious or repeated violations.

3. Accounts and Workspaces

3.1. Registration. You must provide accurate, current, and complete information and keep it updated. You may register using a supported email address or third-party sign-in method.

3.2. Security. You are responsible for protecting your credentials and for activity conducted through your account. Notify us promptly at service@audimind.ai if you suspect unauthorized access.

3.3. No account transfer. You may not sell, lend, sublicense, or transfer your account or use multiple identities to evade limits, billing controls, enforcement, or eligibility requirements.

3.4. Workspaces. Personal, Team, and Business plans may provide one or more Workspaces. Workspace owners and administrators control invitations, roles, permissions, Projects, and member removal. They are responsible for managing access and for taking reasonable steps to ensure that members comply with these Terms.

3.5. Seat use. A pending invitation may reserve a seat. If a downgrade, expiry, or member change causes a Workspace to exceed its seat limit, we may freeze selected members' collaborative permissions until the Workspace returns within its limit or obtains eligible additional seats.

3.6. Account deletion. You may request deletion through available account tools or by contacting us. Deletion may be irreversible. Workspace content may remain accessible to the Workspace owner or other authorized members where the content belongs to the Workspace, has been shared with collaborators, or must be retained by law. Personal-data handling is described in the Privacy Policy.

4. The Services

4.1. Audimind provides software tools and technical services. Audimind is not a user-to-user payment marketplace, employment marketplace, talent agency, or payment facilitator. Users may collaborate through Workspaces, but may not use the Services to sell Credits, process payments for third parties, or operate an unauthorized marketplace.

4.2. Purchases made through Audimind checkout cover Audimind software subscriptions, software-usage Credits, eligible software add-ons, and other items expressly identified at checkout. Any separately offered professional production or creation service is not included unless governed by a separate written order and is not sold through Audimind's standard software checkout unless it is expressly identified there and accepted by the applicable payment provider.

4.3. We may add, change, suspend, or discontinue features to reflect technology, law, safety, supplier availability, or business needs. If a change materially reduces a paid service during an already-paid period, we will provide any notice or remedy required by law.

4.4. Beta, preview, or experimental features may be less reliable, may change, and may be withdrawn. References to premium voices, music generation, video, localization, independent storage add-ons, or other future capabilities mean "where available" and do not promise present availability.

5. Membership, Credits, Seats, and Payments

5.1 Definitions

Membership Plan means a Free, Personal, Team, or Business plan offered by Audimind. Paid plans may be offered monthly or annually.

Paid-Through Date means the date and time through which an already-paid Membership Plan remains available, even if automatic renewal has been cancelled.

Credits are limited, non-cash software-usage units used to meter eligible features. Credits are not money, electronic money, store credit, a gift card, a voucher, a deposit, or transferable stored value.

Purchased Credits are issued through Standard Credits packages and eligible Boost Packs. Subscription Credits are monthly usage entitlements included in eligible paid Membership Plans. Bonus Credits are limited promotional, Free-plan, invitation, or service-adjustment units.

5.2 Payment Provider and Merchant of Record

An eligible purchase may be processed by a third-party payment processor or merchant of record identified at or before checkout (the "Payment Provider"). The Payment Provider processes checkout, the final price and billing currency, payment-method charges, invoices, refunds, disputes, and applicable taxes according to its role in the transaction and under its own buyer terms and privacy notices. Where the Payment Provider acts as merchant of record, it is the contractual seller or reseller for that transaction to the extent stated at checkout. Audimind receives the relevant billing events and manages Membership access, Workspaces, seats, storage limits, and the Audimind Credits ledger.

The identity and legal role of the applicable Payment Provider, together with access to its applicable buyer terms and privacy notice, are disclosed at or before checkout or in the related order materials. A cash credit or customer balance maintained by a Payment Provider is not an Audimind Credit. It is governed by that Payment Provider, may be limited to the same customer identity, and cannot be transferred into an Audimind Credits balance.

5.3 Billing and Automatic Renewal

Paid Membership Plans renew automatically for the selected monthly or annual billing period unless renewal is cancelled before the next billing date. By purchasing a recurring plan, you authorize the applicable Payment Provider to charge the payment method presented or saved for that subscription.

Cancelling automatic renewal prevents future renewal. It does not normally terminate an already-paid Membership immediately. Unless a refund, payment dispute, fraud action, account closure, or legal requirement applies, paid features remain available until the Paid-Through Date.

Annual plans are paid for an annual term. Included Subscription Credits are issued monthly during that paid term rather than all at once. Cancelling annual renewal does not stop otherwise eligible monthly issuances before the Paid-Through Date. No new Subscription Credits are issued after the plan actually expires.

5.4 Plan Changes

An upgrade to a higher plan, or a change from monthly to annual billing at the same level, is intended to take effect after the required payment succeeds. Where supported, the applicable Payment Provider calculates proration or another adjustment for unused value in the current billing period. The Payment Provider determines the final amount, taxes, billing balance, invoice, and renewal date according to the applicable checkout and transaction terms.

A downgrade to a lower plan, or a change from annual to monthly billing at the same level, normally takes effect at the end of the current paid period. Scheduling a downgrade does not create a partial refund. Audimind may permit only one future plan change at a time; confirming a new future change may replace the previous one.

Credits already issued are not converted into cash and do not change the Payment Provider's cash-proration calculation. If an immediate upgrade changes the monthly Subscription Credit entitlement, Audimind may issue only the prorated difference for the remainder of the current benefit window, as described in the Credits Policy.

5.5 Credits

Credits may be used only within the Services at the rate displayed at or before use. They cannot be withdrawn, redeemed for cash, sold, gifted, pledged, transferred between accounts, or used to pay Membership charges.

Credit types, validity, deduction order, metered rates, failed-task reversals, refund treatment, and chargeback treatment are governed by the Credits Policy. Audimind applies Bonus Credits first, then Subscription Credits, then Purchased Credits, using the earliest-expiring lot first within each type.

5.6 Boost Packs and Additional Seats

Boost Packs are one-time purchases of Purchased Credits available only to eligible paid Members. They do not renew automatically. Eligibility and the Credits delivered are shown before purchase.

Additional seats may be offered to Team and Business plans as recurring items aligned with the base subscription's billing cycle. Independent storage add-ons are not included in the current commercial baseline unless and until expressly offered.

5.7 Team Project Charges

The interface identifies which account pays for a metered action. AI operations performed inside a collaborative Project may be charged to the Project creator or designated paying account. Personal AI Voice Design assets may be charged to the individual operator. A task may be blocked if the applicable balance is insufficient.

5.8 Storage and Downgrade Controls

If a downgrade or expiry causes usage to exceed a new seat or storage limit, Audimind may restrict new Projects, uploads, edits, AI generation, or member activity. Where reasonably available, users may continue to view, export, download, or delete existing content so they can return within the limit. We do not promise automatic deletion of content merely because an account remains over a plan limit; retention and deletion follow the Privacy Policy, product notices, security requirements, and applicable law.

5.9 Prices, Taxes, Refunds, and Disputes

Prices may change prospectively. For recurring plans, we will provide any advance notice required by law before a new price applies to a future renewal.

Where the Payment Provider acts as merchant of record, it calculates and collects applicable transaction taxes according to its transaction terms and legal obligations. Refunds are governed by the Refund Policy, the applicable Payment Provider's process, and applicable law. A payment dispute, refund request, or fraud signal may temporarily restrict new purchases, plan changes, Credits, or high-risk features while the matter is reviewed.

6. User Content

6.1. User Content includes text, manuscripts, scripts, images, prompts, audio, narration recordings, other recordings, Project files, and other material you submit or create using non-generative tools.

6.2. You retain your rights in User Content. You represent that you own or have obtained all rights, licenses, notices, and consents needed for the intended use, including copyright, contract, privacy, publicity, performer, and voice rights.

6.3. You grant Audimind a limited, non-exclusive, worldwide license to host, store, reproduce, process, transcode, technically modify, display, and transmit User Content only as reasonably necessary to provide and secure the Services, enable collaboration you authorize, comply with law, and enforce these Terms. We may sublicense these limited activities to service providers acting on our behalf.

6.4. User Content and audio assets are private by default except where you affirmatively share, publish, or place them in a Workspace. Audimind will not place generated sound effects, recordings, AI Voice Design assets, or other User Content in a public library without an affirmative sharing action or separate authorization.

6.5. We do not use User Content, uploaded audio data, or Generated Output to train or fine-tune a general-purpose or shared AI model without your express authorization. We do not authorize our processors to use that content for their independent model training unless separately disclosed and lawfully authorized.

6.6. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it to improve the Services, provided that this does not give us ownership of your User Content or uploaded audio data.

7. Generated Output

7.1. Generated Output means audio or other material generated specifically for you by an AI feature in response to your input.

7.2. As between you and Audimind, and to the extent permitted by law, you may use Generated Output subject to these Terms, the rights in your inputs, third-party rights, and payment of applicable fees. We do not guarantee that Output is eligible for copyright protection, unique, exclusive, accurate, or non-infringing. Similar Output may be generated for others.

7.3. You are responsible for reviewing Output before use or publication. Where synthetic or altered audio could reasonably mislead a listener, you must provide a clear disclosure that it is AI-generated or synthetic, and comply with applicable provenance or labeling laws.

8. AI Voice Design and Voice Rights

8.1. Purpose and current availability. AI Voice Design is intended for fictional, creative, and production-oriented voice creation within audiobook and spoken-audio workflows using descriptive, non-identifying characteristics. It is not intended for personal identity replication, voice authentication, or representation of a real individual. The current version of Audimind does not provide features intended to clone, reproduce, replicate, or create a model of the identifiable voice of a real person.

8.2. Production-oriented AI voice styles. You may use AI Voice Design to select or describe characteristics such as tone, pacing, delivery style, emotion, language, or other non-identifying attributes. You must not identify a real person as the target voice, provide a real person's recording for imitation through AI Voice Design, or use prompts or other inputs intended to make a synthetic voice confusingly similar to an identifiable person.

8.3. No real-person voice reproduction. You may not use the Services, alone or together with another tool, to reproduce or approximate an identifiable person's voice. This restriction applies to the current version of Audimind regardless of whether a user claims to hold authorization, because real-person voice reproduction is not an offered feature in that version.

8.4. No impersonation or deception. You may not use any real or synthetic voice to falsely present Generated Output as an authentic statement, endorsement, instruction, call, or communication from another person; bypass voice authentication; commit fraud; create false evidence; engage in social engineering; or otherwise mislead listeners about a speaker's identity.

8.5. Uploaded recordings. Recording, editing, Smart Alignment, Smart Review, and related production features may process recordings supplied by you. You must own or have all rights, notices, permissions, and lawful authority required for those recordings and their intended use. Processing a recording for those production purposes does not create or authorize a replica of the recorded person's voice.

8.6. Future licensed-voice offerings. Audimind may separately evaluate professional licensed-voice programs, voice-actor partnerships, or other rights-managed offerings in the future. Any such offering, if made available, would require separate product availability, identity and rights verification, additional agreements and controls, regional restrictions where applicable, and a separate compliance review. Nothing in these Terms represents that voice cloning, real-person voice reproduction, or a professional voice marketplace is currently available through the current version of Audimind.

8.7. Review, complaints, and deletion. We may review prompts, inputs, AI Voice Design assets, or Generated Output where identity or safety risks are reasonably suspected and may suspend generation, disable an asset, restrict Output, or terminate access. A person may submit a voice or identity-rights complaint under the Copyright Policy / DMCA Policy or contact copyright@audimind.ai. You may delete an eligible AI Voice Design asset through available account tools or request deletion; related personal-data processing and retention are described in the Privacy Policy.

9. Acceptable Use

You must comply with the Acceptable Use Policy. Among other things, you may not:

  • violate law or third-party rights;
  • generate unauthorized voice impersonations, deepfakes, false endorsements, or deceptive synthetic media;
  • upload content, audio, or recordings without the necessary rights and consent;
  • use the Services for fraud, harassment, exploitation, disinformation, or election interference;
  • circumvent moderation, metering, payment, Credits, retry, seat, storage, concurrency, or security controls;
  • resell Credits or operate an unauthorized marketplace through the Services;
  • reverse engineer or attempt to extract models, weights, source code, or system prompts; or
  • use the Services or Output to train or improve a competing model or service without written authorization.

10. Moderation and Enforcement

We do not undertake to review every item of content, but we may use automated and human review to protect users, rights holders, and the Services. Depending on severity and context, we may refuse a request, remove or disable content, disable an AI Voice Design asset, restrict a Project or Workspace, suspend Credits consumption, cancel future access, or terminate an account.

We may preserve evidence, notify affected parties, cooperate with lawful requests, and report suspected illegal activity. We will consider reasonable appeals and may use transaction-level restrictions instead of account-wide restrictions where appropriate.

11. Intellectual Property and Rights Complaints

The Services and all Audimind software, interfaces, branding, documentation, and other materials provided by us, excluding User Content and Generated Output, are owned by Audimind or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose.

Copyright, voice, publicity, and other rights complaints are handled under the Copyright Policy / DMCA Policy. We may terminate repeat infringers in appropriate circumstances.

12. Third-Party Services

The Services may rely on third-party hosting, authentication, AI, storage, and billing providers. Their availability and practices may affect the Services. The applicable Payment Provider applies its buyer terms and privacy notices to the checkout and payment relationship according to its stated role. Audimind remains responsible for its own entitlement and Credits systems.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR EVERY PURPOSE, OR THAT GENERATED OUTPUT WILL BE ACCURATE, UNIQUE, PROTECTABLE, OR FREE OF THIRD-PARTY RIGHTS. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR CONSUMER REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

14. Limitation of Liability

To the maximum extent permitted by law, Audimind and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profit, revenue, data, goodwill, or opportunity arising from the Services.

To the maximum extent permitted by law, our aggregate liability arising from the Services or these Terms will not exceed the greater of: (a) the amount you paid for the Services during the 12 months before the event giving rise to the claim; or (b) US$100.

These limitations do not apply to liability that cannot lawfully be limited, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence where applicable.

15. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Audimind and its affiliates, officers, employees, and agents against claims, losses, and reasonable costs arising from your User Content, your use of audio or AI Voice Design assets, your violation of these Terms or law, or your infringement of another person's rights. This obligation does not apply to a consumer where prohibited by mandatory law.

16. Term, Suspension, and Termination

These Terms remain in effect while you use the Services. You may stop using the Services and request account deletion at any time.

We may suspend or terminate access where you materially or repeatedly breach these Terms, where required by law, where payment or identity risk cannot reasonably be resolved, or where continued service creates a serious legal, safety, or reputational risk. Where we discontinue a paid Service without cause attributable to you, we will provide any notice or remedy required by law.

After termination, licenses granted to you end. Credit balances and paid entitlements are handled under the Credits Policy, Refund Policy, applicable law, and any final billing event. Provisions that by their nature should survive will survive, including ownership, payment records, disclaimers, liability limits, indemnity, dispute resolution, and enforcement rights.

17. Changes to These Terms

We may update these Terms prospectively. We will post the revised Terms and update the date above. For material changes, we will provide reasonable advance notice where required. A material change will not silently shorten an existing Purchased Credit lot or remove an already-paid entitlement during its paid period, except where required for law, security, fraud prevention, or an expressly accepted migration.

18. Governing Law and Dispute Resolution

18.1. These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles, except that mandatory consumer protections in your place of residence remain unaffected.

18.2. Before starting a formal claim, contact legal@audimind.ai and allow at least 30 days for good-faith informal resolution, unless urgent relief or mandatory law permits otherwise.

18.3. Subject to mandatory consumer rights and the exceptions below, unresolved disputes will be finally resolved by arbitration administered by the Singapore International Arbitration Centre under its applicable rules. The seat will be Singapore, the language will be English, and the tribunal will consist of one arbitrator.

18.4. To the extent permitted by law, claims must be brought individually and not as a class, collective, or representative proceeding. You may opt out of this arbitration and class-action waiver by emailing legal@audimind.ai within 30 days after first accepting these Terms.

18.5. This Section does not prevent eligible small-claims proceedings, intellectual-property or rights-protection proceedings, urgent injunctive relief, or a consumer from using local courts or dispute bodies where mandatory law grants that right.

19. Export Controls and Sanctions

You must comply with applicable export-control and sanctions laws. You may not use or transfer the Services or Output in a manner prohibited by those laws.

20. Miscellaneous

These Terms and the incorporated policies are the entire agreement regarding the Services. Failure to enforce a provision is not a waiver. If a provision is unenforceable, the remainder continues. You may not assign these Terms without our consent; we may assign them to an affiliate or successor in connection with a reorganization, merger, financing, or sale of assets. The English version controls to the extent permitted by law.

21. Contact

Annex A - Jurisdiction-Specific Terms

A.1 EEA, Switzerland, and United Kingdom

Nothing in these Terms limits mandatory rights relating to conformity, remedies, withdrawal, privacy, or local courts. Sections 18.3 and 18.4 do not apply where they conflict with mandatory consumer law.

A.2 United States

US residents retain rights that cannot be waived under federal or state law. California residents may contact the Complaint Assistance Unit of the California Department of Consumer Affairs using the contact details published by that authority.

A.3 Other Jurisdictions

If mandatory law in your country gives you additional rights or requires a local court, regulator, or dispute process, those requirements prevail to the extent of any conflict.
